1. Electronic Record

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder, including the amended provisions relating to electronic records in various statutes. This electronic record is generated by a computer system and does not require any physical or digital signatures.

2. Publication of Terms

This document is published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011. These rules require publishing the rules, regulations, privacy policy and Terms of Use for access or usage of the website: https://sdmrc.in/

3. Merchant Agreement

This Merchant Agreement (“Agreement”) is a legal agreement between you (“you”, “your”) and SDMRC Infotech Technology Private Limited (“SDMRC Pay”, “we”, “our” or “us”). It governs your use of SDMRC Pay services which provide aggregate payment gateway solutions for selling products and/or collecting payments for specified purposes.

4. Acceptance of Terms

By accessing or using SDMRC Pay services, you agree to be bound by all applicable rules, guidelines, policies, terms, and conditions related to the service. These policies, including the Privacy Policy, form an integral part of this Agreement.

5. Changes to Agreement

SDMRC Pay reserves the right to modify, update, or remove any portion of this Agreement at its sole discretion without prior notice. Users are responsible for reviewing this Agreement periodically for updates. Continued use of the service after changes indicates acceptance of the updated terms.

6. User Responsibility

You are solely responsible for understanding and complying with all applicable laws, rules, and regulations in your jurisdiction regarding your business activities and use of SDMRC Pay.

7. Agreement Consent

By clicking the acceptance button or accessing, using, or installing any part of the service, you irrevocably agree to be bound by this Agreement and all terms stated herein.

If you do not agree with the terms of this Agreement, you must select the option indicating non-acceptance. In such cases, SDMRC Pay will cancel the association and you will not be permitted to access or use the service.

8. Agreement Validation

This Agreement shall be considered duly executed and legally binding only after:

• Submission of the required information by you.
• Verification of the submitted information by SDMRC Pay.
• Confirmation of the agreement being sent to you.

9. Registered Office

The contract shall be deemed to have been received, accepted, and formed at the registered office located at:

10. Agreement Structure

This Agreement consists of two parts:

• Part One: Terms governing your use of the services.
• Part Two: Additional legal provisions including limitations of liability and dispute resolution.

11. Fraud & Risk Conditions

SDMRC Pay or acquiring banks may take action in the following situations:

• Fraud or violation of any law by the merchant, customer, or a third party.
• Suspicion of fraudulent activity affecting customers, SDMRC Pay, acquiring banks, or any third party.
• Transactions initiated fraudulently or in collusion with others.
• Excessive pending chargebacks or high refund risk.
• Continuous non-delivery or delayed delivery of products to customers.
• Any other reasonable circumstances determined by SDMRC Pay.
